Terms of Service
Month to month. Plain English. On purpose.

The short version: every engagement is month to month. No multi-year contracts, no early termination fees, no auto-renewal traps. We keep clients by being good at the job, not by locking the exits. Billing is direct, via ACH or credit card, at the start of each monthly term.
1. Who these terms cover
These terms govern the services provided by Power Admin IT, a division of Power Admin Solutions ("Power Admin IT," "we," "us"), to the business client ("you") that engages us. Specific engagements are defined in a service order or proposal we both approve; if a service order conflicts with these terms, the service order wins. Our services are for businesses, not consumers.
2. Term and cancellation: month to month, really
Every engagement runs in monthly terms and renews month to month. Either of us can cancel with written notice (email counts), effective at the end of the current monthly term. No cancellation fees, no minimum commitment beyond the month you're in, no "retention department."
Why: the industry standard is a three-year contract precisely because it removes the provider's incentive to stay good. We think if you're experiencing poor service you should be able to leave, and knowing that keeps us sharp.
One honest caveat: some third-party licenses we resell (for example, Microsoft annual-commitment licenses) carry commitments to the vendor that don't disappear when you cancel our services. We'll always tell you before putting you on one, and at offboarding we transfer them to you or your next provider rather than leaving you stranded.
3. Billing: direct, simple, no games
Fees are billed monthly in advance via ACH or credit card on file. Direct billing is the only option: we don't offer net-30 or other invoice terms. One-time fees, like onboarding or the security audit, are stated up front and billed when incurred. Prices for recurring services can change only at a monthly boundary and only with at least 30 days' notice, which, combined with month-to-month terms, means you never pay a price you didn't see coming.
If a payment fails, we'll tell you and retry. If it stays unpaid for 15 days, we may suspend services until the account is current. We don't hold your data hostage over a billing dispute: offboarding assistance under section 8 applies regardless.
4. What we provide
The services in your service order, which may include: the AI service desk with human escalation, managed IT support, co-managed IT, managed security services, license management, backup management, and security audits. What's included is listed in the service order; we don't bill "out of scope" surprises for work that's in it. Work genuinely outside the order (a new office buildout, for example) is quoted and approved before it happens.
Our service desk uses AI systems to classify, route, and resolve routine requests, with defined categories of sensitive requests (credentials, access changes, MFA resets, deletions, billing) always handled by humans. All AI actions are logged and auditable.
5. The security audit
The security audit is a paid, read-only assessment delivered as a report. Its fee is credited in full against your first engagement of any ongoing service with us. The audit reflects your environment as observed at the time of the assessment; it is a professional evaluation, not a guarantee that no vulnerability exists or that no incident will occur.
6. What we need from you
Timely access to the systems and information needed to do the work, a designated contact who can make decisions, and prompt notice when something changes (employees joining or leaving, new systems, suspected incidents). If access we need is withheld, we can't be responsible for what we couldn't see or fix.
7. Confidentiality and data
Everything we learn about your business and environment is confidential. We use it only to deliver the services, and our handling of personal information is described in our Privacy Policy, including this commitment: we never share your information with third parties for marketing purposes. Your data remains yours.
8. Leaving well
If you cancel, we offboard professionally: we return administrative control, transfer or document credentials and configurations, hand over or delete your data per your instruction, and cooperate reasonably with your next provider. Judging by how some incumbents behave at handoff, we know this section is a differentiator, which is a little sad, but here we are.
9. Warranties and limits
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Beyond that, services are provided "as is": IT and security work involves systems and threats we don't fully control, and no provider can promise zero downtime or zero incidents.
Except for breaches of confidentiality, our indemnification obligations, or liability that can't be limited by law, each party's total liability under these terms is capped at the fees you paid us in the twelve months before the claim, and neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost data beyond our backup obligations in the service order.
10. Mutual indemnification
Each party will defend and indemnify the other against third-party claims arising from its own gross negligence, willful misconduct, or violation of law in connection with these terms.
11. Governing law and disputes
These terms are governed by the laws of the State of Florida. Before either of us files anything anywhere, we agree to try to resolve the dispute directly between senior representatives for 30 days. Disputes that survive that conversation will be resolved in the state or federal courts located in Hillsborough County, Florida.
12. The boring but necessary
These terms plus your service order are the whole agreement and replace prior discussions. If a provision is found unenforceable, the rest stand. Neither party is liable for delays caused by events beyond reasonable control. Neither party may assign these terms without consent, except to a successor in a merger or sale. Changes to these terms take effect at your next monthly renewal, with notice; continuing service after notice is acceptance.
